Amendments to the NANOG Bylaws

NANOG members (and other interested people), The NANOG bylaws provide an opportunity each year to amend them, if needed. Bylaw amendments may be enacted by a majority vote of eligible voters (in other words, NANOG Members), during NANOG's annual election. The election is scheduled to take place during NANOG 53, from October 9-11, with voting open to all NANOG members (http://www.nanog.org/membership_main.html) The current bylaws are posted at http://www.nanog.org/governance/documents/By-Laws_20110104.pdf An amendment may be put on the ballot by the Board of Directors or by petition. A petition must be signed by at least 30 eligible voters, or 1 percent of eligible voters, whichever is greater. In addition, the Board had the power to make bylaw amendments during NANOG's first year as an independent corporation, subject to ratification by the voters in the next election. The Board used that procedure to amend the bylaws and institute the current membership structure, so that amendment will now need to be accepted or rejected by the membership. Accordingly, there will be a proposal on the ballot to ratify the current membership structure (Section 5 of the bylaws). The board has also discussed submitting a proposal to modify the committee structure called for in the bylaws (Section 9), to reflect that some of the committee functions are now being handled by staff. Any other changes people want to suggest may be discussed on the nanog-futures(a)nanog.org mailing list. Anybody wishing to put a bylaw amendment on the ballot without board action may do so by submitting a petition to nominations(a)nanog.org no later than September 26. NANOG'ers, On Thursday, September 1st, the NANOG Program Committee will meet to review submissions for NANOG 53. In an effort to get a topic list out to the community as early as possible, we do need to have all abstracts and slide submissions in as soon as possible. A quick review of the PC tool indicates we can continue to receive additional content for review and consideration for presentation at NANOG 53 in Philadelphia. Please submit your work ASAP! 2011 NANOG Elections

Colleagues: Elections for three of the six elected positions on the NewNOG/NANOG Board of Directors will be held in October 2011, for two-year terms ending in October 2013. The current Board members whose terms are expiring are: • Steve Feldman • Sylvie LaPerriere • Duane Wessels • Mike Smith (Completing a vacant seat on the Board) Steve is term-limited and cannot be considered for re-election until October 2012. For more information about the role of the Board, or to find out more about what's involved in being a Board member, please consult the NANOG bylaws or contact someone who is already serving and ask them directly. http://www.nanog.org/governance/documents/By-Laws_20110104.pdf http://www.nanog.org/governance/board.html Per the bylaws, Board members must be members of NANOG and attend at least two of three NANOG meetings per year while in office. Also, a reminder, only NANOG members will be eligible to vote in the 2011 Election process. Confirmed candidates will also be asked to complete a questionnaire describing their qualifications, and to submit a statement of candidacy to be presented at the members meeting during NANOG 53." Each candidate must declare any and all affiliation(s) relevant to NewNOG, which will include his or her main employer, as well as any other major relationships (for instance, if a candidate's primary employer is a nonprofit entity which is sponsored by a vendor, the candidate would declare both the nonprofit and the vendor as affiliations). HOW TO NOMINATE SOMEONE If you care about NANOG as a forum, and think you would like to take a turn at volunteering your time to help make it better, please consider either volunteering yourself or nominating someone else. There is no limit to the number of nominations that may be submitted by a single person. Individual nominees will be contacted directly to confirm that they are willing to accept the nomination, and so that they can supply a biography for the NANOG web page. To submit a nomination, send the nominee's full name and contact details to nominations(a)nanog.org. The deadline for nominations is 11:59 PM EDT on Tuesday, September 6, 2011. The candidates are encouraged to make brief comments and/or accept questions from the community at the NANOG 53 Members Meeting. NANOG Board Announcement

I am sad to announce that Robert Seastrom has resigned from the NewNOG Board of Directors, effective yesterday. Rob has served on the Steering Committee, transition team, and the board for the past three years, and has provided valuable insight and assistance throughout the transition of NANOG to a standalone organization. I thank Rob for his service to the community, and look forward to his continued participation as a member. Since this creates a vacancy on the board with more than two months remaining until the next election, the Bylaws require the remaining board members to appoint a temporary replacement to serve until the election. At that time, a permanent replacement will be elected to fill the remainder of Rob's term, which ends in October 2012. Accordingly, the board has selected Michael K. Smith to fill the vacant position between now and the October Election. Mike has been serving as Communications Committee chair for a few years, as well as assisting with budgeting, technical planning, and many other behind-the-scenes tasks during the transition.
